This article provide a thorough investigation of the legal status of the partners in limited partnerships based on authors’ points of view and the comparative and legal analysis of the legislation of the United Kingdom, the USA and the Draft law of the Republic of Uzbekistan “On a limited partnership”. Furthermore, this article enumerates the deficiencies of the provisions of national Draft law regulating the legal status of the partners, such as unclear determination of the legal status of general partners, the role of a management company in the partnership, the liabilities of the partners and others. Additionally, this article provides suggestions for the elimination of the enumerated deficiencies and the improvement of legal status of the partners in limited partnerships.
