CIVIL LAW REGULATION OF THE REORGANIZATION OF LIMITED LIABILITY COMPANIES UNDER THE CONDITIONS OF LEGISLATIVE REFORM IN THE REPUBLIC OF UZBEKISTAN

This article examines the issues of civil law regulation of the reorganization of limited liability companies in the Republic of Uzbekistan in the context of the legislative reforms of 2024–2025. The provisions of the Law of the Republic of Uzbekistan "On Limited Liability Companies" as amended by Law No. URQ-1025 of February 7, 2025, as well as the provisions of the Civil Code of the Republic of Uzbekistan governing the procedures of merger, acquisition, division, spin-off, and transformation, are analyzed. Problems in the legal regulation of legal succession, protection of the rights of creditors and company participants are identified. Proposals for improving legislation are formulated.
